On 24 June 2005, DnB NOR Bank ASA sold 293,524,738 shares in Pan Fish ASA at NOK 1.92 per share, representing 24.4 per cent of the shares in Pan Fish ASA. The sale will ensure a gain of around NOK 314 million in DnB NOR's group accounts. The shares were sold through DnB NOR Markets. Following the sale, the DnB NOR Group holds convertible bonds corresponding to 9,943,851 shares in Pan Fish ASA, which represents 0.81 per cent of the company's share capital. Nordlandsbanken Invest AS, which is owned by Nordlandsbanken, has signed an agreement with the Lerøy Seafood Group (LSG) on the sale of all of the shares in Aurora Salmon AS. Nordlandsbanken is wholly owned by DnB NOR. The agreement is contingent upon approval by the Board of Directors in the Lerøy Seafood Group within 22 June 2005 as well as financial and legal due diligence investigations within 8 July 2005. Nordlandsbanken Invest AS, which is owned by Nordlandsbanken, has signed an agreement with the Lerøy Seafood Group (LSG) on the sale of all of the shares in Aurora Salmon AS. Nordlandsbanken is wholly owned by DnB NOR. The agreement is contingent upon approval by the Board of Directors in the Lerøy Seafood Group within 22 June 2005 as well as financial and legal due diligence investigations within 8 July 2005. Consideration for the shares is NOK 140 million, representing NOK 70 million in cash and 1,432,079 new shares in LSG, based on a volume-weighted share price of NOK 48.88 as at Monday 20 June 2005. The sale is part of the Group's strategy to reduce its ownership in the Norwegian fish-farming industry.
